By accessing or using Voza Transcribe (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Voza Transcribe provides an AI-powered audio transcription service. Users upload audio or video files and our system converts them into accurate, searchable text transcripts. The Service is provided for personal and professional use. The Service is an independent application built on third-party transcription models (AssemblyAI). Transcripts are generated by these third-party services based on the audio you upload. Transcripts are machine-generated and may contain errors, including misrecognized words or punctuation issues. The Service is not a substitute for professional transcription services where absolute accuracy is required.

To use certain features of the Service, you must create an account. When registering, you agree to: - Provide accurate, current, and complete information - Maintain the security of your password and account - Accept responsibility for all activities that occur under your account - Notify us immediately of any unauthorized use of your account You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

The Service operates on a subscription-based system. Paid plans provide a monthly allowance of transcription minutes, which are consumed when you transcribe audio or video files. Pricing: Plan prices and minute allowances are displayed on our pricing page and may change at any time. Price changes will not affect your current subscription period. Payment Processing: Payments are processed by our payment partner Dodo. By making a purchase, you agree to its terms of service and payment processing policies. Subscriptions and unused minutes are non-refundable except where required by applicable law. Unused minutes do not carry over to the next billing cycle and have no cash value. Failed Transactions: If a payment fails or is reversed (including chargebacks), we reserve the right to suspend or terminate your access to the Service.

You retain ownership of the audio or video files you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process your recordings solely for the purpose of providing the Service (generating transcripts). You represent and warrant that: - You own or have the necessary rights to upload the User Content, including the rights to the voices and content in your recordings - Your User Content does not violate the rights of any third party - Your User Content complies with these Terms and all applicable laws We do not claim ownership of your User Content. You may request account deletion at any time, and we will delete your uploaded recordings and transcripts in accordance with our Privacy Policy.

You agree not to use the Service to: - Record or upload content that includes individuals without their consent, where consent is required by law - Transcribe content you do not have the right to transcribe, including recordings made without the speakers' knowledge or consent where prohibited - Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable - Attempt to reverse-engineer, decompile, or extract the transcription models or algorithms - Use automated tools, bots, or scripts to access the Service in ways that abuse or overload it - Interfere with or disrupt the Service or servers - Attempt to gain unauthorized access to any part of the Service - Use the Service in any way that could damage our reputation or the experience of other users Violation of these prohibitions may result in immediate termination of your account.

The Service, including its design, code, transcription models, and all related content (excluding User Content), is owned by Voza Transcribe and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or its content without our express written permission. Transcripts generated by the Service are provided to you for personal and professional use. You may download, share, and use your transcripts, including for commercial purposes, subject to these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: - IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT - WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE - WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED RESULTS The transcripts generated by our AI are machine-generated and may contain errors, including misrecognized words, punctuation issues, or inaccuracies in speaker identification. We do not guarantee that any transcript will be perfectly accurate.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOZA TRANSCRIBE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR: - ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES - ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES - ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE - ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Voza Transcribe and its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: - Your use of the Service - Your violation of these Terms - Your User Content - Your violation of any third-party rights

You may request account deletion at any time by contacting us at support@mp3totranscript.app. We will process your deletion request and delete your data within 30 days, in accordance with our Privacy Policy. We may suspend or terminate your account at any time, with or without notice, for: - Violation of these Terms - Suspected fraudulent or illegal activity - Extended periods of inactivity - Any other reason at our sole discretion Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Your Company Name operates, without regard to conflict of law principles.
